ReechUs Wellbeing Provider Terms of Use Agreement

This ReechUs Wellbeing Agreement (the "Agreement") sets forth the terms and conditions under which you, as a health provider including, but not limited to, Personal Trainers, Nutritionists, Mental Health Therapists, Financial Coaches, and any other wellness professionals (collectively, "Providers"), may access and use the services offered through the ReechUs and ReechUs Trainer platforms (collectively, the "Services") operated by ReechUs Wellbeing, Inc. ("ReechUs Wellbeing", "we", "us", or "our"). By registering for or using the Services, you, on behalf of yourself or the entity you represent ("you" or "Provider"), agree to be legally bound by this Agreement, including any service terms and policies referenced herein or available by hyperlink.

Acceptance of the Agreement

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including any future modifications. If you do not agree to this Agreement, you must cease using the Services immediately. This Agreement may be updated by ReechUs Wellbeing at any time, with updates taking effect when posted on the ReechUs Wellbeing website.

Registration and Account Integrity

To access the Services, Providers must register and create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. ReechUs Wellbeing reserves the right to suspend or terminate accounts that contain information that is inaccurate, not current, or incomplete. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify ReechUs Wellbeing immediately of any unauthorised use of your account.

Scope of Services

ReechUs Wellbeing provides a platform for Providers to offer health and wellness services to companies and their employees. This includes, but is not limited to, fitness training, nutritional advice, mental health therapy, financial coaching, and any other wellness-related services. Providers are independent contractors and are not employees or agents of ReechUs Wellbeing.

Provider Obligations

Providers agree to comply with all applicable laws, regulations, and codes of conduct in the provision of their services. Providers must ensure that their services are provided in a professional manner and in accordance with best practices in their respective fields. Providers are responsible for obtaining and maintaining any required certifications, licences, or registrations.

Fees and Payments

Providers will be compensated for services rendered in accordance with the terms agreed upon between ReechUs Wellbeing and the Provider. ReechUs Wellbeing will process payments to Providers, minus any applicable fees, in a timely manner based on completed services. Providers are responsible for providing accurate payment information and for paying any taxes associated with their compensation.

Intellectual Property

All intellectual property rights in the Services, including the ReechUs and ReechUs Trainer platforms, are owned by ReechUs Wellbeing or its licensors. Providers are granted a limited, non-exclusive, non-transferable licence to access and use the Services for the purpose of providing health and wellness services. Providers may not use the ReechUs Wellbeing name, logos, or trademarks without prior written consent.

Confidentiality

Providers must maintain the confidentiality of all information obtained through the use of the Services, including client information, and may not disclose such information without the consent of ReechUs Wellbeing or as required by law.

Indemnification

Providers agree to indemnify and hold harmless ReechUs Wellbeing, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from the Providers' use of the Services, violation of this Agreement, or violation of any rights of another.

Termination

Either party may terminate this Agreement at any time for any reason. Upon termination, Providers must cease all use of the Services and destroy all materials obtained from the Services.

Disclaimer of Warranties and Limitation of Liability

The Services are provided "as is" without warranty of any kind. ReechUs Wellbeing disclaims all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ReechUs Wellbeing will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement or the Services.

General Provisions

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings. This Agreement will be governed by the laws of the jurisdiction in which ReechUs Wellbeing is located. Any dispute arising out of or related to this Agreement will be subject to the exclusive jurisdiction of the courts in that jurisdiction.
